BASIS OF DELIVERY
Product Delivery
The delivery
will be ex- silos , or on fob basis, to be delivered dully certified
through originals CPR/CETIP´S. Ownership certificate and guarantee
certificates, insured per insurance company and re-insured per LLOYD’S
insurance of London or similar.
Contract Years
The CPR certificates
will be for the period starting 2008 until 2028, with a monthly
quantity as detailed above until reaching the total contracted quantity
which will be handled to.
Monthly Quantity
The Monthly
Quantity is foreseen for one hundred twenty-five (250) calendar
monthly deliveries of maximum deliveries of 200,000 MT (+/-5%).
The quantity of goods will be confirmed on a certificate issued
by the independent international survey company "SGS (Societé
Generalle de Surveillance)", at Seller’s expense.
Pre-Carrige
By Sea.
Port Of Loading
The delivery
will be to the Port of Santos and/or Paranaguá–PR, whereby
Buyer agrees to provide Seller with delivery schedule and quantities
for all shipments in a timely manner as per the contract.

CETIP / EUROCLEAR iinn nneeww 5500 ((ffiiffttyy)) Kilo PP bags with
polythene inner. 2% of empty bags supplied free of charge.
PROCEDURES
1 Buyer issues
ICPO addressed to the seller. The ICPO must contain full banking
details including Account Officer and Branch Manager Names and contact
details and swift and routing numbers. ICPO MUST be ACCOMPANIED
BY THE RWA (RWA - Ready, Willing And Able Letter) signed by TWO
bank officers confirming and certifying with FULL banking responsibility
that the buyer (bank's client) is able to comply with our terms
and conditions and financial and other as specified in our Soft
Offer. The Seller will prepare and issue a draft contract with full
details to the buyer.
2 Buyer issues
an invitation letter to Seller to meet in Buyer Bank, to initiate
the signing of the SALE AND PURCHASE CONTRACT of 100% Refined Sugar
ICUMSA 45 on future delivery of CPR, with CETIP Certificate, Insured,
re Insured and Euroclear Certificate
3 Both Buyer
and Seller, during working meeting, sign and seal the contract and
notarize all signatures.
4 After both
parties sign and seal the ORIGINAL contract, the buyer's bank use
ScreenAccess Codes for verification of Euroclear and confirm the
availability of Commodity.
5 After the
verification of the CPR´s authenticity in Euroclear System,
the process of simultaneous transfer via SWIFT WIRE TRANSFER MT
760, starts and the transfer of the titularity to Buyer and get
all original documents, will be conditioned to the payment.

NNPC has verified these information to be accurate, seller shall
supply the buyer to his refinery monthly not less than 2 million
barrels of crude oil there shall be no payment upfront, no bank
instrument such as LC or BG.
Crude oil will be supplied to buyer and buyer must make payment
directly to NNPC account with the central bank of Nigeria not later
than 72 hours of the reciept of the delivery.
This contract must be for 1 year at least I thinks this the best
procedure for anyone seeking to purchase crude oil from nigeria
without spending money.

The total quantity of 2,300,000 MT of Urea will be made in partial
shipments of not less than 25,000 Metric tons (+/-5%) Per Month.
The first shipment will be made within 60 DAYS after the receipt

BASIS OF SHIPMENT
The date of the Bill of Lading shall be considered the date of lifting
and shipment.

• Copy of the notice of shipment sent by fax, of the seller
to the buyer, three days following the shipment. Indicating the
details of the same one

PRODUCT PACKING
The urea will be packed in new polypropylene bags outer and polyethylene
inner Seaworthy bags of 50kg net each with 2% bags provided free
of charge. Each bag shall be secured by tape to ensure the safety
of the commodity during ocean transport. Bags shall be marked with
black characters as follows:

ARTICLE 08:
WEIGHT AND QUALITY
The Seller guarantees to his account the shipment of Urea 46% shall

CONTRACTED QUANTITIES
The quantity sold by the Seller and purchased by the Buyer shall
be 2,300,000MT Prilled Urea 46% (+/-5%) is to be effected according
to "ARTICLE 03: PRODUCT AVAILABILITY".
The Certificate
of weight issued by SGS prior to each and any shipment at port of
loading shall determine the total quantity of each shipment and
the Bill of Lading of shipment delivered to Buyer, which is in conformity
with the SGS certificate of quantity.
ARTICLE 10:
PRODUCT SALE AND PAYMENT TERMS
The Buyer and the Seller agree to the following quantity and price
of payment:

Buyer will then issue a MT799 to the Seller. The Seller will then
