As part of the overall plan the company would first obtain an ESPN affiliate radio station located in Central Illinois just south of Chicago. The first asset is a station located in Rantoul, IL with a net worth of about $250,000 USD and with possibility to expand to double its’ present size and market area. One of the directors of the holding company has been closely associated with the station for a period of one year and has led the station into an expansion phase.

Based upon the public appetite in the United States and throughout the world for sports and sports related venues/merchandise the holding company has endeavored to build from the ESPN 1460 AM Radio platform.

In an effort to expand the character of the company the holding company I.S.P.N. has entered into contract negotiations with a local Restaurant & Pub which it will purchase and change the name to reflect 1460 Sports Café ---ESPN--- . We have already been given preliminary approval by local authorities and finalization and control will be passed by the end of April 2004.

As a further need for diversification and to make the company more rounded we have also entered into contract negotiations for two additional radio stations in the same general area. The NEED

I.S.P.N. has arranged with a local bank to accept a Stand-By Letter of Credit from State Bank of India. This LOC (Letter of Credit) would be held by the local bank as a guarantee for a period of 1 year and would not be called upon until a default has occurred after that period of time. If default occurs then all assets would be transferred to the issuer of the LOC and ultimately to the account holder for whom the LOC was issued.
Our position is that by operating the company with the assets for a period of 7 months the company can then obtain permanent finance and release the Letter of Credit before it is ever called upon for payment.

This is why we need a partner from India with assets based in India and someone with a relation with State Bank of India who can have a LOC issued to back this venture.

We are prepared to pay a fee and all costs involved in the execution and delivery of the LOC to our bank in Rantoul, IL thru the State Bank of India Chicago. We will have those funds paid UPON THE DELIVERY AND ACCEPTANCE and from proceeds derived from placement.

In addition we will pay to the India Partner a sum equal to 10% of the face amount of the LOC for the placement for 1 year and will extend the opportunity to remain as a 5% stockholder in the company which will convert to common stock once we go to the stock market.
