Bank Guarantee & Bank Letter of Credit to lease
Project funding, bank instruments discounted
Procedure for electronic delivery of the Letter of Credit

The client is required to wire transfer (as per Exhibit “A,” attached hereto) the Issuing Cost. This Issuing Cost is Three (3%) Percent of the face value of the requested letter of credit. This transfer when credited is at the free disposal of the Trust and its client, the Trading Company/Applicant for the herein described and attached Letter of credit.

Upon receipt by Trust (“the Trust”) of the fully executed Trust Agreement, and Contract to Obtain Bank Letter of Credit or Bank Guarantee, and credit of the required Three (3%) Percent Issuing Cost to the herein designated Trust Account (see attached Exhibit “A”), the Trust shall cause its client, the Applicant for the LC or BG, to instruct the Issuing Bank as follows:

(i) within Ten to Fourteen (10 to 14) business days after the Trust account is fully funded, and the Agreement to Obtain Bank Instruments is executed by the Applicant/Trading Company, UBS, AG, Zurich, Switzerland will load the LC or BG onto the EUROCLEAR and/or The Depository Trust Company (“DTC”) screens, and electronically deliver the LC or BG, with a GUINN Number, which is convertible to an ISIN Number, to the Borrower’s designated Funding Bank’s account at EUROCLEAR and/or DTC.

(ii) Upon receipt by the Borrower’s Funding Bank of the electronic delivery of this UBS, LC or BG, (see attached Exhibit “B”) the Borrower’s bank will download the electronically delivered LC or BG into its account, and advise the Borrower accordingly.

(iii) The Funding Bank will then provide a credit facility and/or loan against the downloaded LC or BG, in an amount not less than Eighty (80%) Percent of the face value of the LC or BG, in favor of the Borrower. Immediately upon procurement of credit facility and/or loan, Borrower will receive the balance of funds, less an Eight (8%) Percent Annual Fee, which is payable to the Applicant/Trading Company at funding.

Minimum amount : $ 100 Million for BG & $ 20 Million for SLC. We arrange the credit line or loan on the lease instrument for 80 % minimum of its face value.

I am willing to pay a fee max. 10% + 1%. For the renewal of 1 years I shall pay at the time of renewal a fee of 5% + 1%.

My bankers are Standard Chartered Bank in Karachi. The BG/SBLC shall be returned back by me at the expiry of its tenure unemcumbered.

The fee etc. shall be paid by me after the BG/SBLC is well received by my banker and they have it authenticated. For your safety I shall have you issued ICPU from my banker for your fees after receipyt of the BG/SBLC but prior to them receiving the confrmation of the BG/SBLC from your bankers.

We are a criminal justice/law enforcement consulting firm. We intend bidding on tenders from the European Commission for implementation of justice sector projects throughout Europe and its neighbourhood. To make a bid on a project, the EC requires a bank guarantee for 60% of the value of the first year's funds - the equivalent of the advance payment to be made by the EC in the event of a successful bid. As a small firm, recently started, this has proved so far impossible. In the event we win a contract from the EC, we can contract to pay you a fee for providing the bank guarantee. In the event we do not win the bid, the guarantee will not be needed anyway.

In the next possible bid, we are seeking to implement a project valued at just over Eur400,000 in the first year, which means we must provide a bank guarantee to accompany our bid, or Euro268,000. 3. Upon reception of the funding bank’s response, within 72 hours, Your Bank will be electronically deliver (via MT 799) the BG into the our funding bank
4. Upon reception of the MT 799 from your bank (within 24 hrs), the- our funding bank shall send (via swift to your bank) payment instructions to the Beneficial subject to receive a confirmation of the MT 799 swift from your bank 5. Upon reception of the Swift payment instruction from the funding bank, your bank will confirm and validate the MT 799 to our funding bank, subsequently, funding bank shall make payment to the Beneficiary accordingly.
